The Protection Plan

ShopKeep’s Hardware Protection Plan (the “Plan”) covers the replacement of Covered Hardware (defined below) in the event of Accidental Damage and Hardware Defects as more fully described below.

Term; Beginning and End of Coverage

The Term of the Plan is two years from the time of enrollment (the “Term”). However, you may terminate the Plan at any time by contacting ShopKeep Customer Care at the telephone number that may be found in ShopKeep’s BackOffice. Your coverage will expire on the earlier of (i) the end of the Term or (ii) if terminated earlier at the end of the last day of the [thirty day period] for which you last paid, in both cases with the exception of the potential coverage extension set forth in Section 5 below (the “Termination Date”).

Covered Hardware

Each Plan covers a maximum of the following items of hardware, subject to the Enrollment Requirements noted below:

  • 1 credit card reader
  • 1 receipt printer
  • 1 kitchen printer
  • 1 barcode scanner
  • 1 label printer
  • 1 iPad enclosure
  • 1 cash drawer

In order to qualify as Covered Hardware, the hardware must be purchased from shop.shopkeep.com.

Enrollment Requirements

All devices must be enrolled by you through a ShopKeep Customer Care or Sales Representative who will register your device serial numbers to your account. Covered Hardware purchased up to 30 days prior to commencement of your Plan may be enrolled. Covered Hardware purchased during the Term may be enrolled. For clarification purposes, the coverage for such Covered Hardware enrolled after the commencement of the Term terminates on the Termination Date.  Confirmation of coverage will be sent to you by email at the email address that you have provided to ShopKeep. If you believe an item of hardware has been properly enrolled, but you have not received a confirmatory email, please contact a ShopKeep Customer Care or Sales Representative.

If you wish to enroll an item of hardware and you already have an item of hardware of the same type enrolled, you must remove the originally enrolled item of hardware in order for the new item of the same type to be registered and covered.

Coverage for Accidental Damages

The following is the coverage provided, and limitation of coverage, for accidental damage to Covered Hardware (“Accidental Damage”):

  • There is a maximum of 4 approved Accidental Damage claims per Plan.
  • There is a maximum of 2 approved Accidental Damage claims for each type of item of Covered Hardware.
  • There is a $50 Accidental Damage service fee per approved claim.
  • Covered Hardware is replaced with a reconditioned item of like type and quality, although ShopKeep in its sole discretion may choose to provide a new item of like type and quality (“Replacement Items”).
  • Replacement Items will be covered only through the Termination Date.
  • Replacement Items will come with a 90-day warranty. This means that if a Replacement Item is shipped within 90 days of the end of the Termination Date, ShopKeep will still provide coverage under the Plan for 90 days from the shipping date even if your Plan terminated during those 90 days.
  • The item that is being replaced by a Replacement Item must be returned by you to ShopKeep within [10] days or you will be charged for the retail value of the Replacement Item.

Coverage for Hardware Defects

The following is the coverage provided, and limitation of coverage, for defects in materials and workmanship with respect to Covered Hardware (“Hardware Defects”):

  • There is no maximum number of approved Hardware Defects claims per Plan.
  • Covered Hardware is replaced with a Replacement Item.
  • Replacement Items will be covered only through the Termination Date.
  • Replacement Items will come with a 90-day warranty. This means that if a Replacement Item is shipped within 90 days of the end of the Termination Date, ShopKeep will still provide coverage under the Plan for 90 days from the shipping date even if your Plan Termination Date is during those 90 days.
  • The item that is being replaced by a Replacement Item must be returned by you to ShopKeep within [10] days or you will be charged for the retail value of the Replacement Item.

Non-Coverage

The following are not covered by the Plan:

  • Covered Hardware that has been lost or stolen. This Plan only covers Covered Hardware that is returned to ShopKeep in its entirety.
  • Damage caused by misuse, liquid, fire, earthquake or other similar external cause.
  • Damaged caused by operating the Covered Hardware outside the permitted or intended uses described by ShopKeep or the manufacturer.
  • Damage caused by modification of the Covered Hardware, improperly performed service or alteration outside of the types recommended by ShopKeep or the manufacturer.
  • Cosmetic damage to the Covered Hardware including but not limited to scratches and dents.
  • Consumable parts, such as batteries, unless the applicable consumable part cannot be replaced.
  • Preventative maintenance on the Covered Hardware.
  • Defects caused by normal wear and tear or normal aging of the Covered Hardware.
  • Issues that are resolved by ShopKeep or manufacturer software updates.

Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT EXCEPT AS SET FORTH HEREIN SHOPKEEP MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND IN CONNECTION WITH THIS AGREEMENT. OTHER THAN THE OBLIGATION TO DELIVER APPROVED COVERED HARDWARE TO YOU, IN NO CASE WILL SHOPKEEP BE LIABLE TO YOU FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT OR AS A RESULT OF CONDUCTING ACTIVITIES CONTEMPLATED HEREUNDER, IN EXCESS OF THE AGGREGATE AMOUNT PAID TO US UNDER THIS AGREEMENT. IN NO CASE WILL SHOPKEEP BE LIABLE FOR CONSEQUENTIAL DAMAGES OR LOST PROFITS AND YOU EACH WAIVE ANY CLAIM TO COLLECT SUCH CONSEQUENTIAL DAMAGES OR LOST PROFITS FROM SHOPKEEP FOR ANY REASON.

General

  • ShopKeep may subcontract or assign performance of its obligations to third parties but shall not be relieved of its obligations to you in doing so.
  • ShopKeep is not responsible for any failures or delays in performing under the Plan that are due to events outside ShopKeep’s reasonable control.
  • This Plan is offered and valid only if you are a resident of the fifty states of the United States of America, the District of Columbia, Puerto Rico, Guam, American Samoa, Marshall Islands, Northern Mariana Islands, Palau, U.S. Virgin Islands and Canada.
  • This Plan shall be construed under the laws of the State of New York.  Any dispute arising hereunder shall be exclusively heard in the state or federal courts residing in New York County, New York.  Each party hereto consents to the jurisdiction of such courts with regard to matters arising in connection with this Plan and waives any claim it has that such a forum is inconvenient.
